These Terms & Conditions apply to all contracts concluded between WelcomeBerlin Solutions UG (haftungsbeschränkt) (hereinafter “WelcomeBerlin”) and its clients through the website welcomeberlin.net or by direct agreement.
They apply to both consumers (B2C) and business clients (B2B). Where provisions differ, this is explicitly stated.
A consumer is any natural person who concludes a legal transaction for a purpose that cannot predominantly be attributed to their commercial or self-employed professional activity.

3.1. The presentation of services on our website does not constitute a legally binding offer, but an invitation to order.
3.2. By clicking the “Buy Now” or “Order with obligation to pay” button, you place a binding order for the service listed on the order page.
3.3. The purchase contract is concluded when we send you an order confirmation by email immediately after receiving your order.
3.4. For bank transfer payments, the contract is concluded upon receipt of your payment to our account. Your token or service will be activated within 1 business day of payment being credited.
4.1. Our services are available exclusively to individuals aged 18 or older. By placing an order, you confirm that you meet this requirement.
4.2. Corporate clients purchasing services on behalf of employees confirm that the designated recipient also meets this requirement.
5.1 Market Signal Token: Access to the Market Signal diagnostic tool is delivered digitally via a unique token. The token is activated within 1 business day of payment confirmation. Token validity periods are as stated at the time of purchase (3, 7, or 30 days) and begin upon activation.
5.2 1:1 Coaching Session: Coaching sessions are delivered via video call. Scheduling is coordinated by email following payment confirmation. Sessions expire 90 days after purchase if not scheduled.
5.3 Marketplace Listing: Listings are published on welcomeberlin.net within 3 business days of payment confirmation and content submission. Listings are active for the period stated at the time of purchase.
5.4 Relocation Kits (B2C): Relocation Kits are service packages coordinating multiple independent processes. Delivery timelines for each component are as stated on the respective product page. WelcomeBerlin acts as coordinator and does not control outcomes determined by third-party providers or German authorities.
5.5 Relocation Kits (B2B — Corporate): Corporate relocation services are delivered under the scope, timelines, and conditions stated on the Corporate Relocation page and confirmed in writing prior to engagement.
5.6 General: WelcomeBerlin coordinates services through vetted third-party partners. We are not liable for delays or outcomes caused by third-party providers, German authorities, market conditions, or incomplete information provided by the client.
6.1. All prices for B2C clients are stated inclusive of 19% VAT (Mehrwertsteuer) as required by German law.
6.2. All prices for B2B clients are stated net, excluding 19% VAT, which will be invoiced separately.
6.3. For B2B clients based outside Germany within the EU, the reverse charge mechanism applies pursuant to § 13b UStG. The client is responsible for declaring and paying VAT in their country of residence.
6.4. Prices stated at the time of purchase are binding for that transaction. WelcomeBerlin reserves the right to adjust prices for future purchases.
7.1. Payment can be made via bank transfer (IBAN: DE63 1001 8000 0290 4075 06, WelcomeBerlin Solutions UG), PayPal, debit or credit card, and Apple Pay. Card and Apple Pay payments are processed securely by PayPal. WelcomeBerlin does not store or process card details directly.
7.2. For bank transfers, the payment reference stated on the order page must be included. Services are activated upon receipt of payment.
7.3. For the Visa Kit and Immigration Fast Track Kit, payment is structured in two phases as described on the respective product pages. Phase 1 fees are non-refundable upon payment.
7.4. Invoices are issued by WelcomeBerlin Solutions UG and sent by email. B2B clients requiring a formal invoice with their company details must provide their company name, address, and VAT ID at the time of purchase.
7.5. Payment is due immediately upon order confirmation unless otherwise agreed in writing.
The right of withdrawal for each service type is governed by our Right of Withdrawal policy, which forms an integral part of these Terms & Conditions and is incorporated herein by reference.
Consumers are reminded that for digital services activated immediately upon purchase, the right of withdrawal is waived upon activation, subject to explicit confirmation at checkout (§ 356 Abs. 5 BGB).
9.1. WelcomeBerlin provides coordination, guidance, and support services. We do not guarantee specific outcomes including but not limited to visa approval, housing secured within a specific timeframe, employment obtained, or appointment availability with German authorities.
9.2. WelcomeBerlin’s liability shall be limited to cases of intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit). Liability for slight negligence (leichte Fahrlässigkeit) is excluded to the extent permitted by law.
9.3. In cases where WelcomeBerlin assesses a visa application as high-risk prior to submission and notifies the client accordingly, a refund of 60% of the Phase 2 fee is offered. Once an application has been formally submitted to the relevant authorities, no refund is possible.
9.4. WelcomeBerlin is not liable for delays, errors, or rejections caused by German authorities, consulates, third-party providers, incomplete client documentation, or market conditions outside our control.
9.5. Nothing in these Terms & Conditions limits liability for damages arising from injury to life, body, or health, or under the German Product Liability Act (Produkthaftungsgesetz).
WelcomeBerlin processes personal data in accordance with applicable data protection law, including the GDPR. Our full Privacy Policy is available here.
By placing an order, clients consent to the processing of their personal data to the extent necessary for the fulfilment of the contract and compliance with legal obligations.
11.1. These Terms & Conditions and any disputes arising out of or in connection with them shall be governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
11.2. If you are a consumer (B2C), this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of your country of residence.
11.3. The exclusive place of jurisdiction for any disputes arising from this contract shall be Berlin, Germany, provided you are a merchant (B2B), a legal entity under public law, or a special fund under public law.
The European Commission provides a platform for online dispute resolution (ODR) at http://ec.europa.eu/consumers/odr/. WelcomeBerlin is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board. We encourage clients to contact us directly at [email protected] to resolve any issues.
13.1. Should any provision of these Terms & Conditions be or become invalid, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the applicable statutory provision.
13.2. WelcomeBerlin reserves the right to update these Terms & Conditions. The version in effect at the time of purchase applies to that transaction.
